Terms of Service

1. Acceptance of Terms

By installing, accessing, or using TagDJ ("the App", "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not install or use the App. These Terms constitute a legally binding agreement between you ("Merchant", "you", or "your") and Conais ("we", "us", or "our"), the developer of TagDJ.

2. Description of Service

TagDJ is a Shopify application that provides AI-powered product optimization services, including:

• Automated product tag generation based on product images and content
• AI-powered product description creation and optimization
• Product metafield management and optimization
• Bulk processing of product data using artificial intelligence

The Service operates through the Shopify Admin API and utilizes third-party AI services for content generation and analysis.

3. Account and Access

To use TagDJ, you must:

• Have an active Shopify store
• Install the App through the Shopify App Store or authorized installation link
• Grant the necessary Shopify API permissions requested during installation
• Be authorized to act on behalf of the Shopify store for which the App is installed

You are responsible for maintaining the security of your Shopify account and for all activities that occur through your use of the App.

4. AI-Generated Content Disclaimer

TagDJ uses artificial intelligence to generate product tags, descriptions, and other content. You acknowledge and agree that:

• AI-generated content may not always be accurate, complete, or appropriate for your specific use case.
• You are solely responsible for reviewing, editing, and approving all AI-generated content before it is published or applied to your products.
• We do not guarantee that AI-generated content will improve your search rankings, sales, or any other business metrics.
• AI-generated content should not be considered professional advice (legal, medical, financial, or otherwise).
• You retain full ownership and responsibility for all content applied to your Shopify store through the App.

5. Acceptable Use

You agree not to use TagDJ to:

• Generate content that is illegal, harmful, misleading, or violates third-party rights
• Attempt to reverse-engineer, decompile, or extract the underlying AI models or algorithms
• Exceed reasonable usage limits or abuse the Service in a way that impacts other users
• Use the Service for any purpose other than managing your Shopify store products
• Circumvent or attempt to circumvent any security or access controls

6. Intellectual Property

The TagDJ application, including its design, features, code, and branding, is owned by us and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the App for its intended purpose while installed on your Shopify store.

Content generated by the AI through the App and applied to your products belongs to you. You grant us no ownership rights over your product data or the generated content applied to your store.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

• TagDJ is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied.
• We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
• Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
• We are not responsible for any changes to your product data that result from your use of the App's features.

8. Indemnification

You agree to indemnify and hold harmless Conais, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

9. Service Availability and Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may also update these Terms from time to time. Continued use of the App after changes to the Terms constitutes acceptance of the revised Terms. We will make reasonable efforts to notify you of significant changes.

10. Termination

Either party may terminate this agreement at any time:

• By you: Uninstall TagDJ from your Shopify store at any time. Upon uninstallation, your access to the Service will immediately cease, and we will delete your stored data within 30 days.
• By us: We may suspend or terminate your access if you violate these Terms, engage in abusive behavior, or if required by law. We will provide notice where reasonably possible.

Termination does not affect any rights or obligations accrued prior to termination. Sections regarding limitation of liability, indemnification, and governing law survive termination.

11. Billing and Refunds

All charges for TagDJ are processed through the Shopify Billing API. By subscribing to a paid plan or purchasing credits, you authorize Shopify to charge your payment method on file.

• Subscription plans are billed on a recurring 30-day cycle through Shopify. You can cancel your subscription at any time by uninstalling the app; cancellation takes effect at the end of your current billing period.
• Credit packs and add-ons are one-time purchases. Credits do not expire as long as your subscription remains active. Unused credits are forfeited upon app uninstallation or subscription cancellation.
• Refunds for subscription charges follow Shopify's standard refund policies. For add-on or credit pack refund requests, please contact us at info@conais.com within 14 days of purchase.
• All prices are listed in USD. Applicable taxes may be added by Shopify based on your location.

12. Third-Party Services

TagDJ integrates with third-party services, including Shopify and Google Cloud AI services. Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party services.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions. The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is Köln (Cologne), Germany, to the extent permitted by law. Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation.
